Nonprofit Board Meeting Minutes Template (Canada)
Good minutes are not a transcript. They are the legal record that the board met, had quorum, and made its decisions properly. For a Canadian nonprofit, every set of minutes should capture these seven things:
- Date, time, and location of the meeting (including virtual attendance).
- Who was there — attendees, regrets, guests, and staff present.
- Quorum confirmation — state plainly that quorum was met, per your bylaws.
- Approvals — agenda approved, previous minutes approved (note any corrections).
- Motions — each with a mover, a seconder, and the outcome (carried / defeated / tabled). Record the decision, not the debate.
- Action items — what was agreed, who owns it, and by when.
- Adjournment — time the meeting ended, plus the date of the next meeting.
Tip: write minutes within a few days while memories are fresh, and have the chair review them before they are approved at the next meeting.
